FIRST QUARTER FINANCIAL HIGHLIGHTS

For the three months ended September 30, 2015, the Company reported net income attributable to equity holders of $1,390,072 or $0.02 per share compared to $604,551 or $0.01 per share in the same prior year period.

Excluding effects from foreign exchange and other non-cash expenses, the Company recorded cash expenses of $238,380 in the three months ended September 30, 2015 compared to $282,768 in the same prior year period.

As at September 30, 2015, the Company had $24.8 million cash and cash equivalents and short term investments.

New Pacific Annual General And Special General Meeting On November 13, 2015

VANCOUVER, BRITISH COLUMBIA – October 29, 2015: NEW PACIFIC METALS CORP. (“New Pacific” or the “Company”) is pleased to announce that it will hold its annual general and special general meeting of its shareholders on November 13, 2015, (the “AGM”).

In light of the poor current state of the mineral exploration business and the depressed prices of silver and gold, and given the expertise and skill sets of the members of the board and management of the Company, the Company believes that the ideal allocation of the Company’s working capital would be within the framework of an investment company making investments in privately held and publicly traded corporations.  For those reasons, management and the board have proposed that the Company undergo a change of business from a mining issuer, listed on the TSX to an investment issuer (the “Change of Business”). The Change of Business is subject to TSX approval and likely other stock exchange approvals if the Company does not meet TSX listing requirements after the Change of Business.

To better reflect the Company’s proposed Change of Business, management has proposed a change of name of the Company to “New Pacific Investment Corp.” or such other name as the Board may determine is appropriate (the “Name Change”).  

As such, at the AGM the Company will be asking its shareholders to approve the following:

  1. to consider and, if deemed advisable, to pass, with or without variation, an ordinary resolution (the full text of which is reproduced in the management information circular mailed to the Company shareholders) authorizing and approving a change of the Company’s business from a mining issuer engaged in mineral exploration to an investment issuer engaged in investing in privately held and publicly traded corporations;
  2. to consider and, if deemed advisable, to pass, with or without variation, a special resolution (the full text of which is reproduced in the management information circular mailed to the Company shareholders) authorizing and approving an amendment to the articles of the Company to change the name of New Pacific Metals Corp. to “New Pacific Investment Corp.”, or another available name;
  3. to receive the audited financial statements of the Company for the year ended June 30, 2015, together with the report of the auditor thereon;
  4. to fix the number of directors at five (5);
  5. to elect directors for the ensuing year; and
  6. to re-appoint Deloitte LLP, Chartered Accountants, as auditor for the Company for the ensuing year and to authorize the directors to fix the auditor’s remuneration.

The AGM will be held at Suite 1378-200 Granville Street, Vancouver, British Columbia, Canada V6C 1S4 on Friday, November 13, 2015 at the hour of 10:00 a.m. (Vancouver time).

For the year ended June 30, 2015, the Company reported net income attributable to equity holders of $1.7 million or $0.03 per share compared to net loss of $41.5 million or $0.62 per share in the prior year.

As at June 30, 2015, the Company had $23.7 million cash and cash equivalents and short term investment compared to $21.7 million a year ago.

FOURTH QUARTER FINANCIAL SUMMARY

For the quarter ended June 30, 2015, the Company reported net loss attributable to equity holders of $ 0.8 million or $0.01 per share, compared to net loss of $41.0 million or $0.61 per share in the same prior year period.

Net loss in the current quarter includes impairment of the Tagish Lake Gold project of $0.2 million compared to $40.0 million in the prior year quarter. Excluding impairment and other non-cash effects from foreign exchange and other non-cash expenses, the Company recorded cash expense of $0.3 million in the current quarter compared to $0.4 million in the prior year quarter.

VANCOUVER, BRITISH COLUMBIA â€" February 16, 2015: New Pacific Metals Corp. (“New Pacific” or the “Company”) today announced its unaudited condensed consolidated interim financial results for the three and six months ended December 31, 2014.Â

This earnings release should be read in conjunction with the Company's Management Discussion & Analysis, Financial Statements and Notes to Financial Statements for the corresponding period, which have been posted on SEDAR at www.sedar.com and are also available on the Company's website at www.newpacificmetals.com. All figures are expressed in Canadian Dollars (CAD) unless otherwise stated.

FIRST QUARTER FINANCIAL HIGHLIGHTS

For the three months ended December 31, 2014, the Company reported net income attributable to equity holders of $355,455 or $0.01 per share compared to net income of $11,204 or $0.00 per share in the same prior year period.

For the six months ended December 31, 2014, the Company reported net income attributable to equity holders of $960,006 or $0.01 per share compared to the net loss attributable to equity holders of $879,206 or $0.01 per share in the same prior year period.

Excluding effects from foreign exchange and other non-cash expenses, the Company recorded cash expenses of $321,228 and $603,996 in the three and six months, respectively, ended December 31, 2014 compared to $457,285 and $858,464 in the same prior year period.

As at December 31, 2014, the Company had $22.5 million in cash and cash equivalents and short term investments.

APPOINTMENT OF CHIEF FINANCIAL OFFICER

The Company is pleased to announce the appointment of Jalen Yuan as Chief Financial Officer effective February 7, 2015.

Jalen Yuan is a professional accountant with over nine years of diverse international experience in financial reporting, auditing, internal control, and accounting.  Mr. Yuan is a current member of Institute of Chartered Accountants of British Columbia.  Mr. Yuan has also held the position of financial controller at Silvercorp Metals Inc. since 2010.  Prior to joining the mining industry, Mr. Yuan had three years auditing experience with Grant Thornton LLP where he focused on audits of financial information and internal controls for Canadian companies.  Mr. Yuan has an Honours Bachelor of Commerce Degree from Laurentian University, Canada and a Bachelor of Engineering Degree from Tongji University, China.
